Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Test Nexus platform, including the website at testnexus.app, the cloud application at app.testnexus.app, and any related services (collectively, "the Service"). The Service is operated by Test Nexus ("we", "our", or "us"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use the Service. By using Test Nexus, you represent and warrant that you meet this requirement and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Account Registration

To use the Service, you must create an account with a valid email address and verify it. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Each organization receives an isolated tenant environment with its own data, users, and settings. You must notify us immediately if you suspect unauthorized access to your account.

3. Acceptable Use

You agree not to:

Use the Service for any unlawful, fraudulent, or malicious purpose
Attempt to gain unauthorized access to other accounts, tenants, or system infrastructure
Upload viruses, malware, or any harmful files or content
Circumvent, disable, or interfere with plan limits, rate limiting, or usage restrictions
Reverse-engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or redistribute access to the Service without prior written permission
Use automated tools to scrape, crawl, or extract data from the Service without authorization

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. Plans & Billing

Test Nexus offers Free, Pro, and Enterprise plans. Each plan has defined limits for the number of users, projects, and test cases. These limits are enforced automatically by the platform.

Paid plans (Pro and Enterprise) are billed on a recurring basis — monthly or annually — through our payment processor, Paddle, who acts as the Merchant of Record. By subscribing to a paid plan, you authorize Paddle to charge your chosen payment method at the start of each billing cycle. You may upgrade, downgrade, or cancel your subscription at any time from your Billing settings. For details on refunds, please refer to our Refund Policy.

5. Intellectual Property

The Service, including its design, code, logos, trademarks, and documentation, is the intellectual property of Test Nexus and is protected by applicable copyright and trademark laws. You may not copy, modify, or distribute any part of the Service without our express written consent.

6. Your Data

You retain full ownership of all content you create or upload to Test Nexus, including test cases, test executions, attachments, documents, and results. We do not claim any intellectual property rights over your data.

You grant us a limited, non-exclusive license to store, process, back up, and display your data solely for the purpose of providing and improving the Service. We will not access your data for any other purpose without your consent, except as required by law.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described therein.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control (including but not limited to infrastructure outages, natural disasters, or cyberattacks). We will endeavor to provide advance notice of planned maintenance when possible.

9. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. Upon termination, your data will be deleted within 30 days unless a longer retention period is required by applicable law or regulation. Any prepaid fees for the remaining subscription period are handled according to our Refund Policy.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Test Nexus and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service. In no event shall our total aggregate liability exceed the amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Test Nexus and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or in the courts of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. We will notify you of material changes via email or a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
